END USER LICENCE AGREEMENT ("EULA")
This EULA governs the relationship between you and Microgaming Software Systems Limited ("Microgaming") concerning your use of Microgaming’s front-end software (the “Software") which you obtain or access via the website of the relevant Microgaming Licensee (the "Licensee").
If you have not already done so, please review the Terms and Conditions, Privacy Policies and Cookies Policies on the Licensee’s website, which govern the relationship between you and the Licensee. Links to the Licensee’s Terms and Conditions, Privacy Policies and Cookies Policies are provided on the Licensee’s account registration pages, where personal information is required for account creation.
By using the Software, you agree to be bound by the terms of this EULA and consent to the installation, storage of settings, automatic update and network activity set out in this EULA.
Microgaming grants you a non-exclusive licence to download, install, use and copy the Software for the sole purpose of playing the Microgaming games offered by the Licensee. Any other use or copying of the works and any other intellectual property of the Software is strictly prohibited. You must not copy, decompile, reverse engineer, disassemble or otherwise attempt to access the source code or object code of the Software, nor modify, adapt, or translate the Software, or otherwise do anything to or with the Software that is not strictly required for normal licensed use. You may not collect or harvest any information or data from the Software or our systems or attempt to decipher any transmissions to or from the servers running the Software. You undertake not to disclose any information relating to the architecture or code that you may discover from reviewing, downloading or using the Software. You have no transferable rights in the Software. In particular, you are not permitted to sublicense, rent out, assign or otherwise dispose of the Software in any manner whatsoever, nor attempt to do so.
The Software and all rights in the Software remain the property of Microgaming. You have no intellectual property rights in, or to, the Software other than the right to use it in accordance with these terms.
Installation and/or use of the Software on your internet-enabled devices, including your personal computers, hand-held computer devices, tablet personal computers and server-based terminals (your “Device”) will result in files and certain content being downloaded and/or updated from an installation and update server and being stored on your Device. This happens as a transparent background process under the following circumstances: a) during first time installation of the Software; b) each time you start the Software; and c) after you have started up the Software in order to deliver new games or content. Registry entries will also be created or updated in your Device.
Microgaming may use industry-standard methods (such as registry entries, local storage objects, local shared objects and the like) to store information (such as your user name, software settings and session information) on your Device. Such methods and information are strictly necessary in order for you to play the Microgaming games offered by the Licensee. You may elect to save your password during registration, which will be saved in encrypted form. The Software will communicate with gaming and/or registration servers that are operated by or on behalf of the Licensee, which is necessary for you to be able to play the games offered by the Licensee (for example to provide random game outcomes) and for the Licensee to maintain your user account.
In no event will Microgaming be liable to you nor any third party in contract, tort, negligence or otherwise for any consequential, direct, indirect, pure economic or incidental damages, nor any lost profits or lost savings, arising out of your or any third party’s access to, or use of, the Software, even if a Microgaming representative has been advised of the possibility of such loss. You will be solely liable for any damage, costs or expenses arising out of or in connection with your use of the Software. Microgaming does not warrant that your use of the Software will be uninterrupted or error free. Microgaming may terminate this EULA immediately without notice if Microgaming believes that you have breached any of the terms of this EULA or if your use of the Software has been in any way improper or breached the spirit of this EULA. Microgaming does not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.
If any part of this EULA is found to be invalid, void, or unenforceable, then the remainder of the EULA shall remain in force. This licence shall be governed by English Law and the courts of England shall have exclusive jurisdiction over all disputes arising in connection with this EULA. Even if Microgaming delays in enforcing this EULA, Microgaming can still enforce it later. If Microgaming does not insist immediately that you do anything you are required to do under these terms, or if Microgaming delays in taking steps against you in respect of your breaking this EULA, that will not mean that you do not have to do those things and it will not prevent Microgaming taking steps against you at a later date.
Microgaming reserves the right to amend, modify, update and change any of the terms of this EULA and Microgaming will make a new copy available at www.microgaming.co.uk/eula. It remains your responsibility to ensure that you are aware of the correct current terms of this EULA and Microgaming advises you to check for any amendment, modification, update or change on a regular basis. Your continued use of the Software will be deemed to constitute your acceptance of any amendment, modification, update or change of/to this EULA.
